Ousted SIC Insurance MD Sues Company, Challenges Successor’s Appointment

Ms. Hollistar Duah-Yentumi, the immediate past Managing Director of SIC Insurance Company Limited, has filed a lawsuit against the company and her successor, Mr. James Agyenim-Boateng, contesting what she describes as an unlawful termination of her contract.

The lawsuit follows the appointment of Mr. Agyenim-Boateng by President John Dramani Mahama on January 27 as her replacement. However, in a suit filed on February 4, Ms. Duah-Yentumi rejected the move, insisting that her dismissal breaches the terms of her employment agreement.

According to her legal claim, she was appointed on a four-year contract set to expire on January 1, 2028, unless extended by the Board of Directors.

She maintains that her employment terms are strictly governed by her contract and that any termination must follow due process.

Ms. Duah-Yentumi further argues that under clause 7 of her agreement, only the Board of Directors or the shareholders at an Annual General Meeting (AGM) had the authority to terminate her employment. Since neither of these conditions was met, she believes her removal was unlawful.

The suit seeks a court declaration nullifying her termination and rendering Mr. Agyenim-Boateng’s appointment invalid. Additionally, she is demanding full compensation for the remainder of her contract, including salary and benefits.

This legal battle adds to growing concerns about governance and leadership transitions in public institutions. As the case progresses, it is expected to draw attention to the legal framework surrounding executive appointments and dismissals in Ghana’s corporate landscape.
