Guinness Ghana Breweries announces sale of majority stake to Castel Group

Guinness Ghana Breweries PLC (GGBL) has announced the sale of Diageo Holdings Netherlands BV’s 80.4% majority shareholding in the company to the Castel Group, a prominent beverage company with a strong presence across Africa.

The deal, valued at GH₵5.15 per share, will be completed for cash consideration, with payments made to Diageo in USD at an agreed conversion rate.

Despite the sale, which is expected to be finalized in 2025 pending regulatory approvals, Guinness Ghana Breweries will remain listed on the Ghana Stock Exchange (GSE).

The company, which was established in 1991, is currently the 11th most valuable stock on the GSE with a market capitalization of GH₵1.69 billion and is trading at GH₵5.50 per share.

As part of the transaction, Guinness Ghana and Castel Group will enter into new licensing and royalty agreements. These agreements will ensure the continued production and distribution of iconic Diageo brands such as Guinness in Ghana. Diageo reaffirmed its commitment to the Ghanaian market in a statement, emphasizing its ongoing partnership with Castel to drive brand strategy and innovation for Guinness in the region.

The Castel Group’s acquisition is seen as a strategic move to strengthen its beverage portfolio across Africa. The company, established in the 1960s, has a long history of partnering with multinational consumer goods companies, and this acquisition of Guinness Ghana is expected to bolster its presence in the West African market.

The board of Guinness Ghana reassured stakeholders that the sale would not disrupt day-to-day operations or affect employees. “It remains business as usual at Guinness Ghana, and we do not envisage any changes to operations or impact on employees,” the statement read.

With this new development, Guinness Ghana enters a new phase under the leadership of Castel Group while maintaining strong ties with Diageo to continue its success in the Ghanaian market.
