MTN Ghana Announces 7th Annual General Meeting Scheduled for March 27, 2025

Scancom PLC (MTN Ghana) has announced that its 7th Annual General Meeting (AGM) will be held on Thursday, March 27, 2025, at 11:00 AM GMT.

This year’s meeting will be a hybrid event, allowing shareholders to attend in person at the Accra International Conference Centre or join virtually via live stream at www.mtnghagm.com.

The AGM will focus on the following:

1. Financial Statements – Reviewing the audited financial statements and reports of directors and auditors for the year ended December 31, 2024.
2. Dividend Declaration – Approving the final dividend for 2024.
3. Board Appointments – Re-electing or appointing directors, including:
   • Re-election: Sugentharen Perumal, Fatima Daniels, Ebenezer Twum Asante, and Tsholo Molefe.
   • Appointment: Nosisa Fubu as a new director.
4. Directors’ Fees – Approving directors’ fees for the 2025 financial year.
5. Auditor’s Remuneration – Authorising the directors to determine the auditor’s fees for 2025.

How to Participate

Shareholders have multiple options to participate:

• Virtual Participation: Available at www.mtnghagm.com. MTN will cover data charges for shareholders on its network.
• Dial-in Option: Shareholders without internet access can call +233244300025, enter the access code 8000, and use the PIN 056789.
• In-Person Attendance: Registration begins at 10:00 AM at the Accra International Conference Centre.

Proxy and Voting Information

• Shareholders who cannot attend may appoint a proxy to vote on their behalf. Proxy forms can be downloaded from www.mtnghagm.com and must be emailed to info@csd.com.gh. at least 48 hours before the meeting.
• Voting will be conducted electronically via USSD code 8990#. Shareholders without proxy submissions can vote using their unique token numbers.

The 2024 audited financial statements are available for review online at www.mtnghagm.com ahead of the meeting.
